Provider Terms and Conditions

These Provider Terms and Conditions (the “Provider Terms”) govern the relationship between Total Life (“Total Life,” “we,” or “us”) and any licensed clinician (“Provider,” “you”) who provides clinical services to Total Life members through the Total Life platform. By accepting an engagement with Total Life, you agree to these Provider Terms.
1. Licensure and credentialing
Provider represents and warrants that Provider holds an active, unrestricted license to practice in every state in which Provider will deliver services through the Total Life platform, and that Provider will notify Total Life within 24 hours of any change in licensure status, board action, malpractice claim, or government investigation.
2. Scope of practice
Provider will deliver services within the scope of Provider’s licensure and training and in accordance with applicable state and federal law, Medicare conditions of participation, and Total Life’s clinical policies and procedures.
3. Compensation and billing
Compensation, billing arrangements, and payment timing are specified in Provider’s individual engagement letter or independent contractor agreement with Total Life. Provider acknowledges that Total Life is the billing entity for services rendered to Total Life members and that Provider will not bill Total Life members or their insurers directly for services covered under the engagement.
4. Confidentiality and HIPAA compliance
Provider will comply with all applicable provisions of the Health Insurance Portability and Accountability Act (HIPAA), the Health Information Technology for Economic and Clinical Health Act (HITECH), and Total Life’s Business Associate Agreement. Protected health information may not be disclosed except as permitted by these laws and Total Life’s policies.
5. Documentation
Provider will complete session notes within 48 hours of each session and will use the documentation tools provided by Total Life. Notes are the property of the Total Life clinical record.
6. Use of the platform
Provider will use only Total Life’s approved technology platforms to communicate with members, schedule sessions, and document care. Provider will not contact members through personal devices, personal email, or personal social media accounts.
7. Independent contractor relationship
Unless otherwise agreed in a separate W-2 employment agreement, Provider engages with Total Life as an independent contractor. Nothing in these Provider Terms creates an employment, partnership, or joint-venture relationship.
8. Non-solicitation
For the duration of Provider’s engagement and for twelve months thereafter, Provider will not solicit Total Life members for services outside of the Total Life platform.
9. Termination
Either party may terminate Provider’s engagement on the notice period specified in Provider’s individual engagement letter, or immediately for cause as defined in that letter.
10. Governing law
These Provider Terms are governed by the laws of the state specified in Provider’s individual engagement letter, without regard to conflict of laws principles.
